About the role: We are hiring for the role of a Compliance and Administration for the fund. The candidate will be responsible for ensuring the fund compliance with applicable laws and regulations.
Responsibilities:
Fund Compliances :
• Ensuring one-time regulatory registrations and their regular filings.
• SEBI quarterly filings and other compliances. Periodic compliances towards trustees –
monthly, quarterly and annual CTR compliances .
• Maintaining & updating policies and SOPs and related documentation
• Updating of PPM and Contribution Agreement. Co-ordination for
• Co-ordination for yearly PPM Audit, merchant banker certificate for consolidated changes
in PPM and portfolio valuation.
• Any other compliances.
Fund Administration and Operations :
• Onboarding investors and their KYC.
• Sending out drawdown notices, statement of accounts and other reporting to investors.
• Corporate action for allotment and redemption of units.
• Seeking investor’s consent for changes to memorandum/contribution agreement.
Investment Manager’s Compliance (LLP) :
• Drafting and maintaining LLP minutes and other statutory records. Issuing CTC
resolutions.
• Changes to charter document such as LLP deed.
• POSH compliances and annual filings.
Deal Support:
• Support investment team in drafting, maintaining IC notes, minutes and approvals.
• Drafting / reviewing investment resolutions for the deal.
• Compliances with the Trustee.
Portfolio Monitoring:
• Ensuring secretarial compliances with respect to investee companies from fund
perspective.
Required Qualifications / Skills:
• Company Secretary, law degree will be an added advantage.
• 3-4 years’ experience handling compliances for AIF and/or a leading trustee company.
• Well versed with the AIF regulations, Company Law, LLP, FATCA compliances.
• Curiosity and interest in staying up to date with AIF developments.
